These Terms & Conditions (“Terms”) govern access to and use of the services provided by GEA Consulting, including AI-powered tools and professional services.

By accessing or using the website or any services offered by GEA Consulting, you agree to be bound by these Terms.

2. Description of Services

2.1 GEA Agents (AI-powered tools)

GEA Agents are AI-assisted tools designed to support sustainability disclosure work related to reporting frameworks, including:

  • European Sustainability Reporting Standards (ESRS)

  • Sustainability standards issued by the IFRS Foundation (ISSB)

GEA Agents:

  • Provide informational and educational content

  • Generate drafts, explanations, and structured guidance

  • Support understanding, structuring, and drafting related to sustainability disclosures

  • Do not provide professional advice

  • Do not replace human judgment or expert review

Outputs generated by GEA Agents are not final, binding, or authoritative.

2.2 Advisory and Consulting Services

GEA Consulting also offers advisory and consulting services that involve human expert intervention. These services are provided under separate scopes, proposals, or agreements where applicable.

Use of GEA Agents does not constitute advisory or consulting services, unless explicitly agreed in writing.

3. No Professional Advice

GEA Agents do not provide legal, financial, accounting, audit, or regulatory advisory services.

In particular, GEA Agents do not provide:

  • Accounting services

  • Financial reporting services

  • Audit or assurance services

  • Preparation of financial statements

All AI-generated outputs are provided for informational purposes only.

You acknowledge that:

  • Outputs may be incomplete, outdated, or inaccurate

  • Outputs require independent human review and validation

  • You remain solely responsible for any decisions, disclosures, filings, or actions taken based on the outputs

4. Human Responsibility and Validation

You acknowledge and agree that:

  • GEA Agents operate without human review on a per-output basis

  • Final responsibility for interpretation and use of outputs rests entirely with you

  • Human validation is required before using outputs in professional, regulatory, or public contexts

5. AI Limitations

You understand that AI systems:

  • Are probabilistic and automated

  • May generate errors, omissions, or inconsistencies

  • Reflect patterns in data rather than authoritative interpretations

GEA Consulting makes no guarantees regarding:

  • Accuracy

  • Completeness

  • Regulatory acceptance

  • Fitness for a particular purpose

6. User Inputs and Data Responsibility

You control the information you submit to the services.

You agree:

  • Not to submit personal data, confidential information, or third-party data unless you are legally authorised to do so

  • Not to rely on the services for processing sensitive or regulated data without appropriate safeguards

GEA Consulting does not intentionally use user inputs to train AI models.

7. Third-Party Technology Providers

To operate the services, GEA Consulting relies on trusted third-party technology providers, including AI infrastructure and hosting services.

User inputs and outputs may be processed and temporarily stored by such providers solely to deliver, maintain, and secure the services, subject to appropriate safeguards.

8. Intellectual Property and Outputs

All intellectual property rights in the services, including the GEA Agents, remain with GEA Consulting.

You are granted a non-exclusive, non-transferable right to use AI-generated outputs for your internal or professional purposes, at your own risk.

All outputs are provided “as is”, without warranties.

9. Free and Paid Access

GEA Consulting may offer limited free usage credits.

Once usage limits are exceeded, continued access may require payment. Pricing, usage limits, and paid features will be clearly disclosed prior to purchase.

10. Suspension and Termination

GEA Consulting may suspend or terminate access if you:

  • Breach these Terms

  • Misuse the services

  • Use the services in a manner that creates legal, regulatory, or operational risk

11. Limitation of Liability

To the maximum extent permitted by law:

  • GEA Consulting shall not be liable for indirect, consequential, or reliance-based damages

  • Liability is limited to damages caused by intentional or grossly negligent conduct

Mandatory consumer rights under applicable law remain unaffected.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Germany, excluding conflict-of-law rules.

Mandatory consumer protections of your country of residence remain unaffected.
